4. Our Responsibilities

  • Deliver services according to agreed specifications and timelines
  • Maintain confidentiality of your business information
  • Use industry-standard practices and tools
  • Provide reasonable support during and after project completion
  • Communicate project status and any potential delays promptly

5. Project Agreements

  • Specific project details, timelines, and pricing will be outlined in separate project agreements
  • These Terms and Conditions apply to all projects unless specifically modified in writing
  • Any changes to project scope may result in additional costs and timeline adjustments

6. Intellectual Property

Client Rights:

  • You retain full ownership of your brand, content, and business information
  • Upon full payment, you receive complete rights to deliverables created specifically for your project

Our Rights:

  • MESH PLANET LLC retains ownership of our methodologies, tools, and general knowledge
  • We reserve the right to showcase completed work in our portfolio unless otherwise agreed in writing
  • We may use general knowledge gained from projects to improve our services for other clients

7. Payment Terms

  • Payment terms will be specified in individual project agreements
  • Late payments may result in project delays or suspension of services
  • We reserve the right to charge interest on overdue accounts
  • Refunds are handled on a case-by-case basis and may be prorated based on work completed

8. Limitation of Liability

  • MESH PLANET LLC's total liability is limited to the amount paid for services under the specific project agreement
  • We are not liable for indirect, consequential, special, or punitive damages
  • We are not responsible for third-party service outages or limitations that may affect your project
  • Client is responsible for maintaining backups of their data and content

9. Termination

  • Either party may terminate services with 30 days written notice
  • In case of termination, payment is due for all work completed up to the termination date
  • We will provide reasonable assistance in transferring completed work and access credentials
  • Immediate termination may occur in case of non-payment or breach of these terms

10. Warranties and Disclaimers

  • Services are provided "as is" without warranties beyond those specified in project agreements
  • We do not guarantee specific business results or performance metrics unless explicitly stated
  • Third-party integrations and platforms are subject to their own terms and limitations

11. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of the business relationship.

12. Dispute Resolution

  • Any disputes will first be addressed through good faith negotiations
  • If resolution cannot be reached, disputes will be resolved through binding arbitration
